These Terms & Conditions govern participation in the SF Fruit Co - Sipperz Recycle Rewards Program (the “Program”). By enrolling in or participating in the Program, the participating wholesale account (“Participant”) agrees to these Terms & Conditions.

1. Eligibility
• The Program is available to approved customers that maintain an active wholesale account with SF Fruit Co - Sipperz.
• The Program is intended for first-tier wholesale/distributor accounts that purchase eligible Sipperz products directly from SF Fruit Co - Sipperz.
• Second-tier resellers, venues, event organizers, retailers, and other locations purchasing through an authorized distributor may participate in collection efforts, but do not directly earn Program rewards unless separately approved by SF Fruit Co - Sipperz.
• Each eligible wholesale account may maintain only one Program enrollment.
• SF Fruit Co - Sipperz may approve, deny, suspend, or terminate participation when reasonably necessary to administer the Program, enforce these Terms, prevent abuse, or address fraud or material noncompliance.

2. Eligible Recyclable Items
• Qualifying items are official Sipperz drink pouches and eligible Sipperz tubes, including VIP Tubes and Re-Sipz tubes. Tubes must be returned with their applicable caps.
• Returned items must be empty, reasonably clean, and dry.
• Non-Sipperz packaging, contaminated material, or items that cannot reasonably be verified as eligible Sipperz products may be excluded from the verified return quantity.
• The total quantity credited to a Participant may not exceed the Participant's documented purchases of eligible Sipperz units, less units previously approved and credited through the Program.

3. Collection
• Participants and participating collection locations may collect used eligible Sipperz pouches and tubes through event receptacles, venue collection stations, or other approved collection methods.
• First-tier Participants are responsible for consolidating qualifying materials and submitting them to SF Fruit Co - Sipperz in accordance with the Return Authorization process.
• Second-tier collection locations should coordinate returns through the first-tier distributor or wholesale account through which the eligible products were purchased, unless SF Fruit Co - Sipperz approves another arrangement in writing.

4. Return Authorization and Prepaid Shipping
• A minimum of 200 eligible units per return shipment, in any combination of qualifying pouches and tubes, is required to qualify for a Sipperz-paid prepaid return shipping label.
• Participants must request and receive a Return Authorization (“RA”) before using a Sipperz-paid return label.
• A requested or approved RA does not constitute verification of the quantity returned and does not create or activate any reward, tier, or discount.
• Returns of fewer than 200 units may still be submitted at the Participant's expense, subject to prior authorization, and verified eligible units may count toward that Participant's quarterly total.
• SF Fruit Co - Sipperz may establish reasonable packaging, carton, carrier, routing, or consolidation requirements for prepaid returns in order to control freight and handling costs.
• A prepaid label may be used only for the authorized Program return. Misuse may result in freight charges being assessed to the Participant and/or suspension from the Program.

5. Receipt, Inspection and Verification
• All returned materials must be physically received, inspected, counted, and verified by SF Fruit Co - Sipperz before they count toward a Participant's quarterly return total or qualify the Participant for any tier benefit.
• Quantities stated on an RA, shipping document, or Participant submission are claimed quantities only. The verified quantity determined after receipt and inspection controls for Program purposes.
• Items that are contaminated, ineligible, unidentifiable, or otherwise fail the Program requirements may be excluded from the verified quantity.
• Processing times may vary depending on shipment size and Program volume.
• SF Fruit Co - Sipperz may request supporting purchase, shipment, or collection documentation when reasonably necessary to verify eligibility.

6. Quarterly Return Totals and Tier Qualification
• Tier qualification is based on the cumulative number of verified eligible units received and approved during each calendar quarter.
• Multiple verified return shipments received during the same calendar quarter are added together for tier qualification.
• Returns from different calendar quarters are not combined. The qualifying quarterly total resets to zero at the beginning of each new calendar quarter.
• For purposes of the Program, calendar quarters are January 1-March 31, April 1-June 30, July 1-September 30, and October 1-December 31.
• A shipment counts in the calendar quarter in which SF Fruit Co - Sipperz receives and verifies the eligible units, not the date the Participant requests an RA or tenders the shipment to a carrier.

8. When Rewards Are Earned
• A Participant does not earn a tier benefit merely by collecting units, requesting an RA, obtaining a prepaid label, or shipping a return.
• Tier qualification occurs only after SF Fruit Co - Sipperz has received, inspected, and verified sufficient eligible units to meet the applicable quarterly threshold.
• If a shipment's verified quantity is lower than the claimed quantity, only the verified quantity is added to the Participant's quarterly total.
• A Participant's current tier may increase during a quarter as additional verified returns are received and approved.
9. Next-Order Wholesale Discounts
• A tier-based wholesale discount becomes available immediately after SF Fruit Co - Sipperz verifies that the Participant has reached the applicable tier.
• To receive or use any tier-based wholesale discount, the Participant's account must be active and in good standing with SF Fruit Co - Sipperz at the time the eligible order is placed.
• The discount applies to one new eligible wholesale order placed after qualification.
• Discounts are not retroactive and cannot be applied to orders placed, invoiced, shipped, or paid before the qualifying return has been verified.
• An earned next-order discount remains available through the end of the calendar quarter following the quarter in which it was earned, unless used earlier.
• Once applied to an eligible wholesale order, that earned discount is considered redeemed and may not be reused.
• Unless SF Fruit Co - Sipperz expressly approves otherwise in writing, Program discounts may not be combined with other wholesale discounts, promotional pricing, credits, or offers.
• Program rewards have no cash value and cannot be exchanged for cash.

10. Additional Tier Benefits
• Non-discount benefits associated with Bronze, Silver, Gold, or Platinum status may include marketing recognition, sample packs, co-branded materials, collection equipment, early product access, event support, awards, product bundles, or other published benefits.
• Certain benefits may require reasonable lead time, artwork approval, account information, shipping coordination, or other fulfillment steps.
• Recognition or marketing benefits may require the Participant's consent to use its approved business name, logo, or related materials.
• Unless otherwise stated, additional benefits are non-transferable and have no cash value.

11. Return Freight, Loss and Damage
• For approved qualifying returns of 200 or more eligible units, SF Fruit Co - Sipperz will provide or arrange prepaid return shipping in accordance with the applicable RA.
• Participants must follow the carrier, packaging, routing, and labeling instructions provided with the RA.
• SF Fruit Co - Sipperz is not responsible for material lost, damaged, misdirected, or delayed before delivery to the designated return location, except to the extent required by applicable law.
• Carrier tracking should be retained until the return has been received and processed.

12. Fraud, Abuse and Audits
• Falsifying return quantities, submitting non-eligible materials as Sipperz products, manipulating multiple accounts, misusing prepaid labels, or otherwise attempting to obtain unearned benefits is prohibited.
• SF Fruit Co - Sipperz may audit Program submissions and compare approved returns against documented eligible purchases.
• Fraud, material misrepresentation, or repeated material noncompliance may result in rejected returns, reversal of unearned benefits, suspension, or termination from the Program.

13. Account Status and Transferability
• Program participation and rewards are associated with the approved wholesale account and are not transferable, saleable, assignable, or barterable.
• Participants must maintain an active wholesale account and remain in good standing to use Program benefits.
• If an account closes, becomes ineligible, or is terminated for cause, unused Program benefits may be forfeited to the extent permitted by applicable law.

14. Intellectual Property and Marketing
• The SF Fruit Co, Sipperz, and related names, logos, marks, graphics, and Program materials remain the property of their respective owner(s).
• Participation in the Program does not grant a Participant ownership of or unrestricted rights to use SF Fruit Co or Sipperz intellectual property.
• Any public use of Program badges, Eco-Partner materials, co-branded assets, or similar materials must comply with the usage guidelines supplied by SF Fruit Co - Sipperz.

15. Program Changes, Suspension and Termination
• SF Fruit Co - Sipperz may modify, suspend, or discontinue the Program, including future tier thresholds, benefits, eligible items, return procedures, or shipping requirements.
• Material changes will be communicated by email, website posting, or another reasonable method when practicable.
• Changes will apply prospectively unless a change is required to address fraud, abuse, legal compliance, safety, carrier requirements, or another circumstance requiring immediate action.
• If the Program is discontinued, SF Fruit Co - Sipperz may establish a reasonable period for eligible Participants to use already-earned, unexpired benefits, except where prohibited or impracticable.

16. Taxes
• Participants are responsible for determining and satisfying any tax obligations arising from Program rewards, discounts, promotional products, or other benefits.
• SF Fruit Co - Sipperz does not provide tax advice.

17. Privacy
• Information collected in connection with the Program may include account information, contact details, purchase and return history, shipment information, reward status, and related records needed to administer the Program.
• Program information will be handled in accordance with the SF Fruit Co privacy policy and applicable law.

18. Force Majeure
• SF Fruit Co - Sipperz is not liable for delay or failure to perform Program obligations caused by events beyond its reasonable control, including natural disasters, carrier disruptions, government actions, labor disruptions, utility or technology failures, or supply-chain interruptions.

19. Limitation of Liability
• To the fullest extent permitted by applicable law, SF Fruit Co - Sipperz will not be liable for indirect, incidental, special, punitive, or consequential damages arising from participation in the Program.
• To the fullest extent permitted by applicable law, SF Fruit Co - Sipperz's aggregate liability arising from the Program will not exceed the value of the specific Program benefits at issue.
• Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Sipperz Recycle Rewards Program will be governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. The parties agree to first attempt in good faith to resolve any dispute informally. If a dispute cannot be resolved informally, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada, except that either party may bring an eligible claim in small claims court.
21. Program Administration and Contact
• SF Fruit Co - Sipperz may maintain electronic records of purchases, return authorizations, claimed quantities, verified quantities, quarterly totals, tier status, discounts, and benefit redemption.
• The Program administrator's records will control in the event of a good-faith discrepancy, subject to correction of demonstrated clerical or system errors.
• Questions about the Program, return authorizations, or reward status should be directed through the contact information published on SFfruitCo.com.

22. Acceptance
By enrolling in, requesting a Return Authorization through, submitting materials to, or accepting benefits from the Sipperz Recycle Rewards Program, the Participant acknowledges that it has read, understood, and agreed to these Terms & Conditions.
